Software-as-a-Service (SaaS) Terms of Use

These Terms of Use ("Terms") govern your access to and use of the software, data aggregation platform, and related services (collectively, the "Service") provided by ReconEye ("Company," "we," "us," or "our").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility and Authority

You represent and warrant that:

  • You are at least 18 years old or the age of legal majority in your jurisdiction
  • You have authority to bind the organization you represent
  • Your use of the Service complies with applicable laws and regulations

If you use the Service on behalf of an organization, "you" includes that organization.

2. Description of the Service

The Service provides tools to collect, aggregate, analyze, and present business-related data from various sources, including third-party and publicly available data.

ReconEye may update, modify, or discontinue features at any time, with or without notice.

3. Account Registration and Security

To use certain features, you must create an account. You agree to:

  • Provide accurate and complete registration information
  • Maintain the confidentiality of login credentials
  • Notify us promptly of unauthorized access
  • Accept responsibility for activities occurring under your account

We may suspend or terminate accounts that violate these Terms.

4. License and Permitted Use

Subject to compliance with these Terms, ReconEye grants you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Service for your internal business purposes.

You may not:

  • Reverse engineer, decompile, or attempt to extract source code
  • Resell, sublicense, or commercially exploit the Service without authorization
  • Use automated scraping or extraction tools beyond permitted API use
  • Interfere with system integrity or performance
  • Use the Service to build a competing product
  • Access data you are not authorized to access

5. Customer Data

5.1 Ownership

You retain ownership of data you submit, upload, or provide ("Customer Data").

5.2 License to ReconEye

You grant ReconEye a worldwide, non-exclusive license to host, process, analyze, and display Customer Data solely to provide and improve the Service.

5.3 Responsibility

You are responsible for:

  • Accuracy and legality of Customer Data
  • Obtaining required permissions
  • Compliance with data protection laws

6. Aggregated and Derived Data

ReconEye may create anonymized, aggregated, or statistical data derived from use of the Service. Such data does not identify you and may be used for analytics, benchmarking, product improvement, and business purposes.

7. Third-Party Data Sources

The Service may include or rely on data from third-party sources. ReconEye does not control and is not responsible for:

  • Accuracy or completeness of third-party data
  • Availability of external sources
  • Changes imposed by data providers

Your use of third-party data may be subject to additional terms.

8. Fees and Payment

If applicable:

  • Fees are specified in your subscription agreement or order form
  • Payments are due as invoiced and are non-refundable unless stated otherwise
  • ReconEye may suspend Service for non-payment
  • Taxes are your responsibility unless prohibited by law

9. Confidentiality

Each party agrees to protect confidential information using reasonable care and to use it only for purposes related to the Service.

Confidential information does not include information that:

  • Is publicly available
  • Was already known without restriction
  • Is independently developed
  • Must be disclosed by law

10. Intellectual Property

The Service, including software, content, design, and technology, is owned by ReconEye and protected by intellectual property laws.

No rights are granted except those expressly stated in these Terms.

11. Acceptable Use

You agree not to use the Service to:

  • Violate laws or regulations
  • Infringe intellectual property rights
  • Process unlawful or harmful data
  • Conduct surveillance or monitoring that violates privacy rights
  • Transmit malware or harmful code
  • Overload or disrupt infrastructure

12. Service Availability and Support

ReconEye strives for reliable operation but does not guarantee uninterrupted availability.

Maintenance, upgrades, or external factors may affect access.

Support terms are defined in your subscription or service agreement.

13. Privacy

ReconEye's collection and use of personal data are governed by its Privacy Policy, which is incorporated by reference.

14. Term and Termination

These Terms remain in effect while you use the Service.

ReconEye may suspend or terminate access if you:

  • Violate these Terms
  • Fail to pay fees
  • Create legal or operational risk

You may stop using the Service at any time.

Upon termination:

  • Your license ends
  • Access may be revoked
  • Data handling follows your agreement or applicable law

15. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE."

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RECON EYE DISCLAIMS ALL WARRANTIES, INCLUDING:

  • MERCHANTABILITY
  • FITNESS FOR A PARTICULAR PURPOSE
  • NON-INFRINGEMENT
  • ACCURACY OR RELIABILITY OF DATA

ReconEye does not guarantee business outcomes or decision accuracy based on the Service.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • RECON EYE IS NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES
  • RECON EYE'S TOTAL LIABILITY SHALL NOT EXCEED AMOUNTS PAID BY YOU IN THE 12 MONTHS BEFORE THE CLAIM

17. Indemnification

You agree to defend and indemnify ReconEye from claims arising from:

  • Your use of the Service
  • Your Customer Data
  • Your violation of these Terms or applicable law

18. Modifications to Terms

ReconEye may update these Terms periodically. Continued use after updates constitutes acceptance.

Material changes may be communicated through the Service or by email.

19. Governing Law and Dispute Resolution

These Terms are governed by the laws of [Insert Jurisdiction], without regard to conflict-of-law principles.
